Ross C. Formell


Ross C. Formell is a partner in the firm’s Business Law practice area. His main areas of concentration are debt and equity financing, mergers and acquisitions, securities, taxation, banking, insurance regulation and general corporate law. Ross serves small and medium-sized businesses that require a range of legal expertise. Ross enjoys working through regulatory requirements and structuring complex transactions and documentation.

Ross’ significant recent projects include:

  • Representing a tribal development company in connection with a $5 million equity investment in a local manufacturing company in 2013
  • Representing a Native American tribe in an investment in a local manufacturing company totaling $13 million in debt and equity in 2013
  • Representing an insurance company in the formation of only the second mutual insurance holding company ever formed under Minnesota law in 2011
  • With one of his partners, representing an insurance company in the purchase of an insurance company for $140 million in 2013

His experience includes representation of both sellers and buyers in large and small corporate acquisitions; advising clients in private and public offerings of securities; advising Native American tribes in business development, financing, contract and other matters, advising banks and insurance companies in regulatory matters and working on a variety of debt and equity financing projects.
