Charlie
Berquist is a member of the firm's Business Law practice area.
His clients include individuals, for-profit businesses of all different
sizes and types, and nonprofit organizations. He has represented
clients in a wide variety of transactions and projects including
business formations, buy-sell and transition planning, financings,
securities offerings, mergers and acquisitions, technology agreements,
executive employment and compensation agreements, and qualified and nonqualified benefit plan design and administration.
Among other significant projects, Charlie represented an insurance company in a $25 million sale to a private equity group in 2007. He worked with his client and the client's investment banker in planning, negotiating and completing the sale over an 18-month period. Prior to beginning the sale process, Charlie advised the same client in its successful defense of a hostile tender offer.
Charlie has
published several articles, including "The
Future of Stock Options," 10 Franchise Times 2 , p. 39 (February 2004), "Compensating Employees with Stock," 7 Restaurant Finance Monitor 4 , p. 8 (April 1995), and
"Nonqualified Deferred Compensation Plans for Tax-Exempt Employers," 20 J. Pension Planning and Compliance 2 , p. 48 (Summer
1994).
Charlie provides pro bono services for legal aid divorce
cases. He also recently completed a three-year term on the Board of Directors
of St. Paul Urban Tennis, a nonprofit corporation. Charlie played varsity
tennis in college, and continues to play tennis in his free time.
